You will most likely be reading this at Africa’s gaming trade show, and will no doubt have seen that the interest gained over the past three years that an African Gambling Trade Show has been held, has been phenomenal. For various reasons, each show has had a different flavour, from its fledgling inception at the CTICC in Cape Town, to its successful move to Johannesburg, where a large number of slots manufacturers joined the show and now to its third year, where a growing international interest in the continent and its sportsbetting opportunities are evident. Ultimately an African show in the future will combine all these elements, and build on the groundwork laid by Gambling Indaba and draw together all disciplines from sportbetting and lotteries to casinos and bingo, with an added element of providing technical training and world-class knowledge sharing. Ultimately, an African Gambling Trade Show will in years to come, provide the perfect portal for international companies looking to invest in all forms of gambling on the continent, an opportunity to meet with local partners and serve as a guide for doing business on a continent that, although sometimes is fraught with contradictions and may at times be difficult to navigate, is ripe with opportunities once armed with the right local expertise.     Agile Capital Acquires Stake in Goldrush Group Agile Capital, via its black-owned empowerment subsidiary Zico Capital, has acquired considerable equity in major gambling industry brand, the Goldrush Group, through a significant BEE transaction. AGILE CAPITAL pursues investments across diverse sectors as a key PE player in the local market, holding a broad portfolio spanning multiple industries. “We specifically target businesses offering tangible growth potential and solid operational track records,” notes Tshego Sefolo, CEO: Agile Capital. “Our investment criteria further includes a minimum EBITDA of R30m.” The current deal sees Agile extend the variety of its interests still further and enter the gambling industry via its acquisition of interest in gaming business holding company, the Goldrush Group (Pty) Ltd. Goldrush is a diversified group holding gaming licences in most South African provinces and is focused on the bingo, sports betting and the limited payout machine (LPM) sectors. “Goldrush is structured and managed through its operating divisions that are based in turn on these various sectors,” notes Mergan Naidoo, CEO: Goldrush. “Our investment in Goldrush will significantly bolster the empowerment credentials of the business,” says Sefolo. “As the transaction is via our subsidiary Zico Capital, the target company may regard such investment as 100% black owned for the purposes of the BBBEE scorecard, with significant women ownership. “Considering the serious growth potential and capacity Goldrush has to offer, with many machines still waiting to be rolled out under licensing terms across our outlets, we are exceptionally pleased to have concluded these negotiations,” says Naidoo. “The transaction will afford the company still greater access to funding to realise our expansion ideals.” The deal will be effected through the buy-out of existing BEE and non-BEE shareholders in the current structure. According to Londeka Shezi; a Director at Agile Capital, the transaction was a significant milestone as it afforded some of the minority shareholders to realise their investment in the business. The balance of equity in the company is to be retained by existing shareholders, which crucially includes the current management – thereby ensuring incentive through direct interest. “What makes this investment so very attractive is precisely the highly skilled and experienced management team that holds an impressive track record,” says Sefolo. “With Goldrush holding a broad customer base given the footprint of the business across provinces, and considering with the strong entry barriers present in the highly legislated environment of the gambling industry, this deal offers significant value and promises superior returns,” concluded Sefolo. Tsogo Sun Achieves Level 1 B-BBEE Status Chairperson of the Tourism B-BBEE Charter Council, Dr Vuyo Mahlati, has congratulated Tsogo Sun on attaining the status of a Level 1 B-BBEE contributor. DR MAHLATI said Tsogo Sun is a shining example of what can be achieved when businesses are committed to empowerment and commercial success. “We congratulate the group on this outstanding achievement. You have put transformation policy into action, and you are an inspiration for others who want to follow the path you have embarked on. We believe this status will help Tsogo Sun to broaden empowerment and contribute to a more inclusive economy,” said Dr Mahlati. Tsogo Sun’s most recent empowerment certificate indicates that the group has achieved 62.1% black ownership and 34.4% black women ownership. Empowerment criteria, which are assessed for the certificate, include ownership, management control, skills development, enterprise and supplier development, and socio-economic development. Tsogo Sun is listed on the Johannesburg Stock Exchange. The group includes 14 casino and entertainment centres, and over 100 hotels in South Africa, Africa, the Seychelles and the Middle East. The portfolio includes theatres, cinemas, over 300 restaurants and bars and over 250 conference facilities, including the Sandton Convention Centre in Johannesburg. Tourism Minister Tokozile Xasa also congratulated Tsogo Sun for their empowerment efforts and wished Tsogo Sun every success in the future as it continues to offer great experiences to tourists, creates value for its shareholders, and contributes to the transformation of the tourism sector and the South African economy. “We are determined to implement economic transformation throughout the tourism value chain, and we will succeed as more and more businesses drive transformation in their operations, as Tsogo Sun has done,” said Minister Xasa.

    Sun International Increases Stake in Latam Subsidiary Sun Dreams to 64.9% South Africa’s Sun International is raising its stake in Chilean casino group Sun Dreams to 65 per cent from 55 per cent in a deal valued at about R2bn (€1.35bn approx.) The JSE-listed hotels and casino group said one of its three partners in Sun Dreams‚ Entretenimientos Del Sur Limitada (EDS)‚ had opted to sell its 20 per cent holding. EDS said in March it wanted to do this by selling its shares via an initial public offering. RATHER THAN proceeding with the IPO‚ Sun International and the third partner‚ Pacifico‚ agreed to buy out EDS for $126m. Pacifico will raise its stake in Sun Dreams to 35 per cent from 25 per cent as a result of the deal. The company’s statement said Pacifico could exit its investment in due course via a Sun Dreams IPO‚ but Sun International had an option to buy out Pacifico if it did not find the IPO attractive. The company said that the proposed acquisition, aside from increasing Sun International’s shareholding in Sun Dreams to approximately 65 per cent‚ which is aligned with its strategic objective of increasing its interests in Latin America‚ also eliminates the risks of having both EDS and Pacifico exercising their put options against Sun International for their entire shareholdings in Sun Dreams. The purchase price of just over $63 million will be settled in cash, with funding to be procured from financial institutions in Chile. Sun International CE Anthony Leeming commented that the proposed acquisition is aligned with the group’s stated intention of growing its gaming and hospitality business offshore and in particular in Latin America. Leeming remarked, “The acquisition also strengthens the partnership between Pacifico and Sun International in Sun Dreams, which positions us extremely well for the future” Claudio Fisher, CE of Pacifico, said: “We have established a great partnership with Sun International and with our common interest in growing the business we look forward to a long and successful partnership” Roberto Chute, MD of TRG, said: “We would like to thank our partners, Sun International and Pacifico, for the opportunity to create the leading gaming and hospitality platform in Latin America. We are confident that our partners, together with a highly experienced management team will continue delivering on this path of growth.” Sun Dreams is the largest gaming player in Latam and has the profile, critical mass and balance sheet to expand into the rest of the continent, make meaningful acquisitions, and take on larger projects. Sun Dreams has a sizeable portfolio of assets situated across 4 countries, with 13 properties which between them have 6,500 slot machines, 300 table games, 6 hotels and 25 restaurants. Said Leeming: “In line with our stated intentions, we will continue to explore all viable opportunities for expansion in the region. These include Peru as well as Brazil where licensed casinos may be introduced. The Chilean economy, although still experiencing low GDP growth, is showing signs of improvement with low inflation and interest rates. Although trading in the early part of 2017 was subdued, it is expected to pick up towards the end of the year.” Sun Dreams is planning on bidding to renew its two municipal licences in Chile, as well as bid for additional municipal licences in the territory. Macau Legend to Build Casino off African West Coast MACAU LEGEND, led by billionaire and former Macau legislator David Chow, is building a $275 million casino complex in Cape Verde, a set of islands off Africa’s west coast. The 152,700 square-meter (1.6 million square feet) complex, which will house a resort, casino, office buildings, and a museum in Cape Verde’s capital city of Praia, is now in its first phase of construction. So far, a seawall has been built and construction of the hotel is expected to start soon, according to a Macau Legend spokesperson. The massive complex will be partially built on reclaimed land, area that was once under the sea. It should take at least another two years. But the casino isn’t meant for Cape Verde’s half a million residents, many of whom depend on foreign aid flows, remittances, and tourism for their livelihoods. Instead, Macau Legend hopes to cater to tourists from Europe, elsewhere in Africa, and most importantly from China, the biggest source of customers for Macau’s casinos. For the past four years, China has been the world’s largest outbound market. Chinese tourists spent $261 billion last year, a 12% increase from the year before, according to the UN World Tourism Organization (UNWTO). Spending from this market has seen double-digit growth every year since 2004 and is expected to continue expanding, according to the UNWTO. As China builds its “One belt, One road” or “Maritime silk road,” a network of land and sea transport links that roughly follow the ancient Silk Road route, more African countries will attract Chinese investors and tourists. Casino companies in Macau, where gambling revenues have fallen during an anticorruption campaign in China, are looking to capitalize on this. “This project follows the China government’s national policy ‘One belt, one road’, a strategy to help position Macau as one of the important cities on the Maritime Silk Road, which shall be a vanguard to lead Macau small and medium enterprises to expand from Macau,” Chow, Macau Legend CEO, said in a 2015 press release announcing the project.
